Agreement to these terms

These Terms of Service govern your use of the Minick website, client portal, and any services provided by Minick LLC ("we," "us," "our"), a company based in Plantation, Florida. By accessing our website, submitting a contact form, or using the client portal, you agree to be bound by these terms.

If you are using the client portal or entering into a services agreement with us, these terms apply alongside any project-specific agreement or statement of work we provide to you.

Our services

Minick provides custom web design and development, digital marketing, SEO, and brand strategy services to businesses. All work is built from scratch -- we do not use templates or page builders.

We also offer Minick Widgets, a subscription service of embeddable website widgets you can add to a site you control. Widgets are governed by the "Minick Widgets subscriptions" section below in addition to the rest of these terms.

Access to the client portal is provided to active clients as part of their engagement with us. Portal access allows you to track your project, exchange messages with our team, review and pay invoices, upload files, and submit change requests. Portal access is personal to you and may not be shared or transferred.

Accounts

Client portal accounts are created by us and provisioned to you directly. Minick Widgets accounts are created by you through self-serve signup. In both cases you are responsible for keeping your login credentials confidential, and you must notify us immediately at contact@minick.studio if you believe your account has been compromised.

Where offered, you may sign in with your Google account instead of a password. If you do, your access also depends on the security of that Google account, which is your responsibility. Team and administrative accounts cannot use Google sign-in.

We reserve the right to suspend or terminate portal access if we have reason to believe your account is being misused or if your engagement with us has ended.

Billing and payment

All fees for our services are agreed upon in your project proposal or retainer agreement. Invoices are issued through our client portal and processed via Stripe. A 3% card processing fee applies to payments made by credit or debit card.

Invoices are due on the date specified. We reserve the right to pause work on your project if an invoice remains unpaid for more than 7 days past its due date.

No refunds. All payments made to Minick LLC are non-refundable. Once a payment has been made -- whether for a project milestone, a monthly retainer, or any other service -- it will not be returned. If you have a concern about a charge, contact us at contact@minick.studio and we will work with you in good faith to resolve it.

Retainer subscriptions and plan changes

Retainer plans are billed monthly and renew automatically at the start of each billing cycle. By maintaining an active retainer, you authorize us to charge the applicable monthly fee through Stripe on each renewal date.

If you wish to upgrade or downgrade your retainer plan, you may submit a request through the client portal. Plan changes are not applied immediately -- they take effect at the start of your next billing cycle. Your current plan and its included hours remain in place until then.

Retainers may be cancelled by contacting us directly. Cancellations take effect at the end of the current billing cycle. No partial-month refunds are issued.

Unused retainer hours do not carry over indefinitely. Any rollover bank of hours expires at the terms outlined in your retainer agreement.

Minick Widgets subscriptions

Minick Widgets plans are billed through Stripe, either monthly or annually depending on the billing interval you choose, and renew automatically until you cancel. Plan prices, the number of widgets included, monthly view allowances, and other limits are shown on the plan page in your dashboard and may vary by plan. Plan changes take effect immediately and are prorated.

Cancelling is as easy as signing up. You can cancel your subscription or delete your account at any time, yourself, from your dashboard, with no emails or phone calls required. Cancelling keeps your paid plan active through the end of the billing period you have already paid for, then downgrades you to the free plan; at that point widgets beyond the free plan's limits pause rather than disappear, so nothing breaks on your site. Deleting your account cancels billing immediately and permanently erases your account, widget settings, and stored lead submissions. No partial-month refunds are issued on cancellation.

Usage limits. Each plan includes a monthly view allowance per widget. We serve well beyond the stated allowance before pausing a widget, and a paused widget fails silently on your site rather than showing an error. We may throttle or suspend usage that we reasonably believe is abusive or artificial.

Where you may embed. You may only install widgets on websites you own or are authorized to manage. Free plan widgets display a small "Powered by Minick" credit; paid plans may turn it off.

Your visitors. If you use a widget that collects information from your website visitors (for example a lead form), you are responsible for having the right to collect that information and for giving your visitors any legally required notices. We store those submissions on your behalf and make them available to you in your dashboard, as described in our Privacy Policy.

We may add, change, or retire individual widgets over time. If we retire a widget your plan uses, we will give reasonable notice where practical.

Intellectual property

Upon receipt of final payment for a project, you own the finished deliverables we produce for you -- the design, copy, and code specific to your website or campaign.

We retain ownership of any underlying tools, frameworks, components, and processes we use to build your project. We also retain the right to display completed work in our portfolio unless you specifically request otherwise in writing.

Content you provide to us (logos, copy, images, brand assets) remains your property at all times. By sharing it with us, you grant us a license to use it solely for the purpose of completing your project.

In the course of providing SEO, marketing, and analytics services, we generate and retain operational and statistical records, including website and social performance metrics and the internal operational records described in our Privacy Policy. This operational and statistical data, and any insights or reporting we derive from it, remain our property. We use it to operate, measure, and improve our services. It does not include your own content or the finished deliverables you own under this section.

Acceptable use

When using our website or client portal, you agree not to:

  • Attempt to gain unauthorized access to any part of our systems
  • Submit false or misleading information through any form
  • Use the platform to harass, threaten, or harm any person
  • Upload files containing malware, viruses, or harmful code
  • Scrape, crawl, or systematically extract data from our platform
  • Impersonate Minick or any member of our team
  • Install widgets on websites you do not own or manage, or use them to collect visitor information unlawfully or without appropriate notice
  • Artificially inflate widget views or submit fake leads through widgets

Violation of these rules may result in immediate termination of your account and, where applicable, referral to appropriate authorities.

Limitation of liability

To the fullest extent permitted by law, Minick LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including but not limited to lost profits, lost data, or business interruption.

Our total liability to you for any claim arising out of or relating to these terms or our services will not exceed the amount you paid us in the 90 days preceding the claim.

Disclaimer of warranties

Our website and services are provided "as is" without warranty of any kind. We do not guarantee that our website will be available at all times, free of errors, or free from security vulnerabilities. We make no warranty that our services will meet every specific business outcome you are hoping to achieve.

Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of these terms or your use of our services will be resolved in the courts of Broward County, Florida, and you consent to the jurisdiction of those courts.

Changes to these terms

We may update these terms from time to time. When we do, we will update the date at the top of this page. Continued use of our website or services after changes are posted constitutes your acceptance of the updated terms. For material changes affecting active clients, we will make reasonable efforts to notify you directly.
